Customer Trade Compliance Commitment

CUSTOMER TRADE COMPLIANCE COMMITMENT

1. Purpose

Jetflite is committed to the highest ethical standards and to compliance with all applicable laws, including international sanctions and export control regulations (“Trade Regulations”). We know that our Customers recognize, as we do, that meeting this commitment requires transparency and cooperation throughout international supply chains. With this in mind, we kindly request that you carefully review this Customer Trade Compliance Commitment which forms an essential part of the Agreement you are entering into with Jetflite.

2. Your Trade Compliance Obligations

By entering into an agreement to procure logistics or transportation services from Jetflite or its subsidiaries, we, the Customer, agree to the following conditions:

Embargoed Destinations

We, the Customer, hereby certify that Jetflite has informed us that its Trade Compliance Policy prohibits any transactions in, or connected to, Embargoed Destinations, which are currently Cuba, Iran, North Korea, and Syria as well as the regions of Crimea, Luhansk, and Donetsk. We further certify that the cargo we are shipping does not directly or indirectly originate from and is not directly or indirectly destined to any Embargoed Destination.[1]

Restricted Destinations

We, the Customer, hereby certify that we understand that shipments of cargo directly or indirectly to or from Sanctioned Countries[2], may be subject to restrictions or license requirements. We further certify that if our shipment directly or indirectly originates from, or is directly or indirectly destined to, a Sanctioned Country we shall

· notify Jetflite in writing of any connection of the shipment to a Sanctioned Country,

· ensure that the shipment is not subject to restrictions arising from sanctions adopted by the United Nations, the European Union, the United States, or the United Kingdom, or of any country related to the transaction, and

· provide Jetflite with any documentation reasonably required to confirm the legality of the shipment, such proof of any required export licenses.

Restricted Parties

We, the Customer, hereby certify that we understand that shipments of cargo directly or indirectly to or from Restricted Parties may be prohibited or subject to an export license requirement. Restricted parties include any person or entity designated as sanctioned by the United Nations, the European Union, the United States, the United Kingdom, or any country related to the shipment, as well as entities owned or controlled by them, and those acting on their behalf. Restricted Partiers include also entities that are subject to export restrictions, such as companies designated on the Entity List maintained by the US Commerce Department.

We, the Customer, further certify that we are not a Restricted Party. We further certify that our shipment does not directly or indirectly originate from and that it is not directly or indirectly destined to, or for the benefit of, any Restricted Party and that no Restricted Parties are otherwise involved in the transaction.

Restricted Goods

We, the Customer, hereby certify that we understand that certain commodities are subject to import or export restrictions under Trade Regulations (“Restricted Goods”).[3] We further certify that if our shipment includes any Restricted Goods we shall

· notify Jetflite in writing of the presence and nature Restricted Goods in the shipment, and

· provide Jetflite with any documentation reasonably required to confirm the legality of the shipment, such proof of any required export licenses.

Notifications

We, the Customer, hereby undertake to notify Jetflite in writing and without delay if we become aware of any potential violation of Trade Regulations in connection with the service we have procured from Jetflite or of any information that might render our certifications above incorrect.

3. Right of Refusal and Liability

We, the Customer, accept that Jetflite may at any time terminate this agreement or suspend the provision of services in case there is reason to believe that the transaction may not be consistent with relevant Trade Regulations.

We, the Customer, shall indemnify and hold harmless Jetflite for damages, costs, losses, or fees arising from our failure to comply with Trade Regulations or with the commitments we have undertaken in this Trade Compliance Commitment.


[1] Jetflite may exceptionally provide services that relate to Embargoed Destinations in specific circumstances, including when the transaction relates to medical emergencies, humanitarian activities, or to the official activities of international organizations, the EU, or its Member States. We are happy to provide further information.
